Terms of Service

As a client or user of our Services, you agree to:

• Provide accurate, complete, and timely information required for the delivery of Services, including brand assets, content, feedback, and approvals.
• Not use our Services for any unlawful purpose or in violation of any applicable Indian laws or regulations.
• Not submit content that infringes upon third-party intellectual property rights, is defamatory, obscene, or violates Indian IT Act, 2000 provisions.
• Maintain the confidentiality of any login credentials, API keys, or access tokens provided to you.
• Respond promptly to requests for feedback, approvals, or additional information — delays may impact project timelines for which we shall not be liable.
• Not reverse-engineer, decompile, or attempt to extract source code from our AI tools or platforms unless expressly permitted in writing.

Failure to meet these obligations may result in suspension or termination of Services without prejudice to our other legal rights.

• Fees: All fees are quoted in Indian Rupees (INR) unless otherwise agreed. Prices are exclusive of applicable taxes (GST, TDS, etc.), which will be added as per Indian tax laws.
• Payment Schedule: Payment terms are specified in each proposal or agreement. Typical terms require an advance payment (50–75%) before commencement, with the balance due upon completion or delivery, unless otherwise agreed.
• Late Payment: Overdue amounts may attract interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend Services for accounts overdue by more than 15 days.
• Third-Party Costs: Domain registrations, hosting, stock assets, software licenses, and other third-party costs are billed at actuals unless included in the quoted fee.
• Tax Compliance: Clients are responsible for withholding tax (TDS) as applicable under the Income Tax Act, 1961. We provide invoices compliant with GST regulations.

• Deliverables: Upon full payment, we assign all intellectual property rights in the custom deliverables (designs, code, content) specifically created for your project. This excludes pre-existing tools, frameworks, libraries, and AI models owned by us or third parties.
• GeetAI IP: Our proprietary AI engines, templates, algorithms, dashboards, and underlying technology remain our exclusive intellectual property. You receive a license to use the deliverables incorporating these components for their intended purpose.
• Client Content: You retain all rights to the brand assets, content, and materials you provide. You grant us a non-exclusive license to use these materials for the purpose of delivering the Services.
• Portfolio: We reserve the right to display completed projects in our portfolio, case studies, and promotional materials unless a mutual non-disclosure agreement is in effect.

To the maximum extent permitted by Indian law:

• Our total liability for any claim arising out of or relating to our Services shall not exceed the total fees paid by you for the specific project giving rise to the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill.
• We do not guarantee that our AI-powered outputs will be error-free, completely original, or suitable for a specific purpose. AI-generated content should be reviewed and adapted by the client.
• We are not liable for delays or failures caused by circumstances beyond our reasonable control, including acts of God, government actions, network failures, or third-party service disruptions.

These Terms of Service and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of India. The courts of Pune, Maharashtra shall have exclusive jurisdiction over any disputes, provided that nothing shall prevent us from seeking injunctive relief in any court of competent jurisdiction to protect our intellectual property or confidential information.

These terms are subject to the provisions of the Indian Contract Act, 1872, the Information Technology Act, 2000, and applicable consumer protection laws.

We believe in fair and amicable resolution of disputes. The following process applies:

• Negotiation: Parties shall first attempt to resolve any dispute through informal negotiation within 30 days of written notice.
• Mediation: If negotiation fails, the dispute shall be referred to a mutually agreed mediator in Pune, Maharashtra. Mediation costs shall be shared equally.
• Arbitration: If mediation does not resolve the dispute within 60 days, it shall be finally settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement, seated in Pune, Maharashtra. The language of arbitration shall be English.
• Small Claims: For disputes involving amounts under INR 50,000, either party may elect to approach the relevant consumer forum or small causes court having jurisdiction.

Nothing in this clause prevents either party from seeking interim relief from a court of competent jurisdiction where necessary.

We offer a 7-day satisfaction guarantee on first-time service packs. If you are not satisfied, contact us within 7 days of delivery for a full refund. Custom projects, delivered digital assets, domain registrations, hosting fees, and third-party licenses are non-refundable once work has commenced or delivery has been made. Cancellation requests must be submitted in writing and do not entitle you to a refund of any advance payment already applied to commenced work.

We respect the confidentiality of your business information, customer data, and proprietary materials shared during the engagement. We will not disclose your confidential information to third parties except as necessary to deliver the Services or as required by law. You agree to treat our proposals, pricing, methodologies, and deliverables as confidential unless otherwise agreed in writing.

Either party may terminate an engagement by providing written notice if the other party materially breaches these terms and fails to cure the breach within 15 days of written notice. We may suspend or terminate Services immediately if you engage in unlawful activity, abuse our team or systems, or fail to make payment when due. Upon termination, you remain liable for all fees for work completed and expenses incurred up to the termination date.

Neither party shall be liable for failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, riots, government actions, labour disputes, pandemics, internet outages, or failures of third-party services. The affected party shall notify the other promptly and use reasonable efforts to resume performance.

We handle your data in accordance with our Privacy Policy. We do not sell personal information. You are responsible for obtaining all necessary rights, consents, and authorisations for any personal data or third-party content you provide to us. We implement reasonable technical and organisational measures to protect your data but cannot guarantee absolute security.

We may update these Terms of Service from time to time. Material changes will be notified at least 30 days before becoming effective. Continued use of our Services after the effective date constitutes acceptance of the revised terms. The latest version is always available on this page.
